I should think that JA felt she had no reason to say anything to indicate that Darcy didn't know that he might be overheard. He and Bingley can both see Eliz, he catches El's eye and THEN says coldly that she's not handsome enough for him. He MUST be well aware that he could be overheard. If he hadn't looked around, he might just be allowed to beleive that Eliz wasn't that close.. but he does. ANd Im sure she wasn't the only person within earshot.
